Terms of Service

1. Acceptance & Authority

These Terms of Service (“Terms”) constitute a legally binding agreement between ContextPulse Inc. (“ContextPulse”) and the person or legal entity subscribing to or accessing the services (“Customer” or “you”). By creating an account, integrating the ContextPulse SDK, or using any part of the service, you affirm you have full legal authority to bind yourself or your organization.

2. 100% Customer Output & Data Ownership

You retain 100% ownership, intellectual property rights, and title to all customer data, telemetry streams, schema definitions, analytics outputs, reports, and insights generated by ContextPulse. ContextPulse claims no ownership or intellectual property in your MCP servers, agent workflows, or output data. ContextPulse is granted only the limited, revocable license strictly necessary to ingest, compute, and present observability dashboards to authorized members of your workspace.

3. Commercial Plans, 14-Day Free Trials, and Billing

ContextPulse offers commercial SaaS subscriptions (Starter, Pro, and Enterprise) billed on either a monthly or discounted annual cadence:

  • 14-Day Risk-Free Trial: All paid plans include a 14-day evaluation period. You may cancel at any moment during the 14-day window with zero charge.
  • Payment Processing: All payments are processed securely via Stripe. Invoices, recurring billing receipts, and tax documentation (W-9 / VAT) are automatically issued to the workspace owner.
  • Cancellation & Refunds: You may cancel your subscription at any time via the billing portal. Cancellations take effect at the conclusion of the active billing cycle. We offer a 30-day money-back guarantee if the service fails to meet performance criteria.
  • No Surprise Overages: If your monthly telemetry volume exceeds tier thresholds, our SDK continues to operate fail-open with automated rate sampling rather than charging unauthorized punitive overage fees.

4. Service Availability & Enterprise SLA Commitments

ContextPulse commits to industry-leading infrastructure availability backed by financial service credits:

Production Ingestion Availability SLA99.95% Commitment

For Enterprise tier customers, if monthly uptime drops below 99.95%, Customer is eligible for service fee credits ranging from 10% to 50% of the monthly subscription fee, credited directly against future billing invoices upon written notice within 30 days of the incident.

Fail-Open Guarantee: The ContextPulse SDK executes asynchronously in a non-blocking background queue. In the unlikely event of network interruption or API maintenance, your local MCP server and tool executions remain 100% unaffected and never block agent workflows.

5. Acceptable Use Policy

You agree not to use ContextPulse to transmit intentionally malicious payloads, reverse engineer the ingestion protocol, or attempt unauthorized penetration testing against ContextPulse infrastructure without prior written authorization from our security team.

6. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, punitive, or consequential damages. Except for gross negligence or willful misconduct, each party's total aggregate liability arising under these Terms is strictly capped at the total amount paid by Customer to ContextPulse in the twelve (12) months preceding the incident.

7. Governing Law & Legal Notices

These Terms are governed by and construed in accordance with the laws of Delaware, USA, without regard to conflicts of law provisions. Formal legal notices and inquiries must be directed to:
